Abstract

This study aims to clarify the texts and rules contained in the governance requirements issued by the Capital Markets Authority regarding the governance of companies subject to its supervision, which relate to the independent member of the board of directors, And a statement of the adequacy of these texts to achieve the desired effectiveness of the independent member so that he in turn achieves the goals for which he was created, which is effective participation in Board of Directors meetings to provide an independent opinion on all matters presented to the Board of strategies, general policy, operational performance, shareholders’ rights, and the rights of stakeholders, in addition to stating the extent to which Adapting legislative texts to governance requirements, and proposing any amendments that help independent members play the required role effectively. The problem lies in explaining the importance of the role assigned to the independent board member .
