The contract is a unique and gigantic system of law, and it is the law itself, and the most important system that is sheltered by it. The contract plays the greatest fundamental role in the world of money among people, and it is the most common legal system in their lives. In the past, the contract was concluded in a simple way, where one of the parties would direct a simple offer to the other party, and then the latter would accept that offer, and the contract would be concluded and the matter would end. However, this method is no longer compatible with the complex contracts that resulted from modern methods of dealing. Therefore, it has become necessary for its conclusion to be preceded by a stage of negotiations that often takes a long time. The negotiation process, or the stage preceding the conclusion of the contract, is one of the most important and dangerous stages of it, because it contains a definition of the most important and most of the obligations and rights of the two parties to the contract, and because of the many legal problems that arise from it, which still raise many issues; Whether it relates to the breach of the obligations previously specified at this stage, or to the scope and type of civil liability that arises for the party responsible, in the event that the goal of the negotiations is not achieved.
